By placing an order through exolabz.co (“Website”) and purchasing from ExoLabz (“we,” “us,” “our”), you (“you,” “Customer,” “Buyer”) agree to be bound by these Terms & Conditions (the “Agreement”). If you do not agree to these terms, please do not use the Website or place an order. By clicking “I AGREE” and entering this website, you acknowledge and certify under penalty of perjury that you are at least 21 years of age. I. RESEARCH USE ONLY: All products offered on this website are intended strictly for laboratory research purposes only. They are NOT for human or animal consumption, nor are they to be used as drugs, food additives, cosmetics, or household chemicals. II. ASSUMPTION OF RISK: You acknowledge that these substances have not been sterilized or tested by the FDA for safety or efficacy. III. LIABILITY: ExoLabz Research shall not be held liable for any damages consequential, incidental, or otherwise arising from the purchase, use, or misuse of these products. You agree to indemnify this company against any claims resulting from your handling of these chemicals. IV. COMPLIANCE: You certify that you are familiar with the hazards associated with these products and that you will handle them in accordance with all local, state, and federal laws. We reserve the right to cancel any order if we suspect human use is intended.
1. General Product Use and Intended Purpose
1.1 All products sold by us are strictly for laboratory research purposes only. They are sold for research, analytical, or in‑vitro use and not for human or veterinary consumption, injection, administration, therapeutic or diagnostic use, or as dietary supplements.
1.2 You acknowledge that none of our products have been evaluated or approved by the U.S. Food and Drug Administration (FDA) for use in humans or animals, and we do not represent that they are safe or appropriate for such uses.
1.3 You represent and warrant that you will use our products only in accordance with applicable federal, state, and local laws and regulations, and only in appropriate laboratory settings by qualified personnel.
1.4 The products are not to be used for resale, repackaging for human use, clinical trials for humans, animal administration in a non‑research context, or any other unintended use.
2. Eligibility, Restriction & Compliance
2.1 You must be at least 21 years of age (or older if required under your jurisdiction) to place an order.
2.2 You confirm that you are purchasing the product for lawful research purposes within the United States and that the shipping address is located in the United States. We only ship and sell to the United States.
2.3 It is your obligation to verify that the product you are ordering is legal in your state and jurisdiction. We reserve the right to refuse, cancel or hold any order if we believe it may violate applicable laws or our policies.
2.4 You acknowledge that by placing the order you are not obtaining the product for human consumption, animal administration outside of regulated research, or any other prohibited purpose.
3. Ordering, Payment, Shipping & Bulk Pricing
3.1 Free shipping is provided on orders with a subtotal over US $100, before taxes and after applied discounts.
3.2 We offer bulk pricing discounts (up to 20% off) on qualifying orders. Details of applicable discount tiers will be posted or communicated separately. Discounts cannot be combined with any other offer unless explicitly permitted by us.
3.3 Payment must be completed in full before order processing. We accept credit card or other payment methods as displayed on the Website.
3.4 Orders are shipped only within the U.S. via carriers we select. We are not responsible for customs or import duties or foreign shipping since all orders are U.S. domestic.
3.5 Shipping times are estimates. We are not responsible for carrier delays, lost shipments outside our control, or delay due to customer address errors.
3.6 Title and risk of loss for the products pass to you upon delivery to the carrier for shipment.
4. Affiliate Program & Referral Discounts
4.1 We operate an affiliate program by which referring parties (“Affiliates”) earn a 10% commission on orders placed by referred customers using their affiliate link or code.
4.2 Referred customers receive a 10% discount on their order when using the affiliate referral code.
4.3 Affiliate payments and referral discounts are subject to our affiliate program terms and may be withheld or voided if fraudulent or abusive behavior is detected, in our sole discretion.
4.4 Affiliates agree to conduct marketing in compliance with all applicable laws, not make medical claims about products, not promote human or animal use, and comply with these Terms.
5. Returns, Refunds & Order Cancellation
5.1 All sales are final. No returns and no refunds will be offered unless: (a) the product is defective or (b) the product is lost in transit and cannot be delivered (subject to verification).
5.2 If you receive a product you believe to be defective, you must notify us at our contact page
within 48 hours of receipt, provide photographic evidence and/or tracking information, and comply with our instructions for verification and return (if applicable).
5.3 If you arrange third‑party lab testing of the product for purity and the COA fails to meet our published purity standard (which will be specified per product), we will refund the cost of your order and the cost of that lab test (provided you furnish the validated lab report and shipping/tracking details) at our sole discretion.
5.4 We reserve the right to cancel or refuse an order at any time prior to shipment if we suspect prohibited use, illegal use, non‑compliance, duplicate orders, fraud, or other irregularities.
6. Product Storage, Handling & Liability Disclaimer
6.1 You acknowledge that it is your responsibility to store, handle, and use the products in accordance with relevant safety data sheets (SDS), guidelines, and good laboratory practices.
6.2 We make no warranties (express or implied) regarding the suitability, safety, or effectiveness of our products for your particular research application.
6.3 In no event will our liability exceed the purchase price paid by you. We are not liable for any indirect, incidental, consequential, special or punitive damages, including without limitation injury to persons or property, loss of profits, or business interruption.
6.4 You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, liabilities, costs or expenses (including attorney fees) arising out of your handling, storage, use, misuse, or distribution of the products, or your breach of these Terms.
7. Prohibited Use & Compliance with Law
7.1 You agree not to use, administer, or allow the use of these products in any human or animal subject outside of controlled, regulated research that is lawful under U.S. law.
7.2 You agree not to market, advertise, or hold yourself out as supplying products for human use, therapeutic claims, treatment, medicine, supplementation or veterinary purposes.
7.3 You agree not to repackage, relabel, or resell the products for human consumption or any unapproved use.
7.4 You must comply with the Federal Food, Drug, and Cosmetic Act (21 U.S.C. § 301 et seq.), the Controlled Substances Act (21 U.S.C. § 801 et seq.), and other applicable state and federal laws governing chemicals, research materials, and lab use.
7.5 You acknowledge that regulatory status of peptides is complex and subject to change; you accept the risk that certain peptides may become regulated or illegal for distribution.
8. Intellectual Property
8.1 All content on the Website, including text, graphics, logos, product descriptions, and software, is owned by or licensed to us and is protected by intellectual property laws.
8.2 You may not copy, reproduce, modify or distribute any such content without our prior written consent.
9. Privacy Policy
9.1 Your use of the Website and purchase of products is subject to our Privacy Policy, which governs how we collect, use and disclose information.
10. Changes to Terms & Conditions
10.1 We reserve the right to update, modify or change these Terms & Conditions at any time. The “Last Updated” date will be revised accordingly.
10.2 Your continued use of the Website or purchase after such changes constitutes your acceptance of the new Terms.
11. Governing Law & Dispute Resolution
11.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.
11.2 Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in the State of Utah. You and we consent to the jurisdiction of those courts.
11.3 If any provision of this Agreement is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remainder of the Agreement will remain in full force and effect.
11.4 Nothing in these Terms excludes, restricts or modifies any right, warranty, guarantee or remedy that cannot lawfully be excluded, restricted or modified under applicable consumer protection law, including the Utah Consumer Sales Practices Act. Where any such right applies, these Terms are read subject to it.
